Terms of Service
Effective October 8, 2026 · Last updated October 8, 2026
These terms describe the rules for using MaxIMS, what MaxIMS does and doesn’t do, and how plans, trials, renewal, cancellation, and refunds work.
1. Agreement and eligibility
These terms are an agreement between you and Uncomplicated Inc. (“we”, “us”), which operates MaxIMS. By creating an account or using the MaxIMS app, you agree to them and to our Privacy Policy.
You must be 18 or older to use MaxIMS. If you use MaxIMS for a business, you confirm that you are authorized to accept these terms for it, and “you” includes that business.
2. The service
MaxIMS is software for tracking inventory, acquisition costs, sales, selling locations, location fees, payouts, and profit. You enter the records; MaxIMS calculates results such as fees, net profit, and expected payouts from what you enter and the fee rules you configure.
MaxIMS does not import, read, or interpret statements from malls or marketplaces, and it does not sync with them. Results are only as accurate as the records and fee rules you enter.
3. Not professional advice
MaxIMS is not accounting, tax, legal, appraisal, pricing, insurance, or financial advice, and it is not accounting software. It does not guarantee any sale, price, or profit. Consult a qualified professional for those decisions.
4. Your account
Sign-in is provided through Auth0. Keep your sign-in credentials secure and tell us promptly at [email protected] if you believe your account has been used without permission. You are responsible for activity in your account.
5. Plans, trials, renewal, and taxes
MaxIMS offers a free Starter plan and paid plans. Paid plans include a 30-day free trial; no payment method is required to start the trial. We send reminder emails before a trial ends.
To continue a paid plan after the trial, add a payment method. Payments are processed by Stripe. Paid plans are billed monthly or annually at the price shown when you subscribe.
Paid plans renew automatically at the end of each monthly or annual period, and Stripe charges your payment method for the next period, until you cancel.
We do not currently charge sales tax on MaxIMS plans. If that changes, we will tell you by email or in the app before any tax is added to your charges.
If we change a plan’s price, we will tell you by email or in the app before the change, and the new price applies from your next renewal. You can cancel before then.
If a trial ends without a payment method, your account moves to the Starter plan. Your data is kept, and Starter plan limits apply from then on.
6. Cancellation
You can cancel a paid subscription at any time in the app or through Stripe’s billing portal. Cancellation takes effect at the end of the period you have paid for; your account then moves to the Starter plan and your data is kept.
7. 30-day money-back guarantee and refunds
If you’re not satisfied, email [email protected] within 30 days of your first paid charge for a MaxIMS plan, and we will refund that charge in full. We process refund requests within 48 hours of receiving them; your bank may take several more days to show the credit.
When we refund your first charge, we cancel that paid plan and your account moves to the Starter plan; your data is kept.
Apart from this guarantee or where the law requires otherwise, charges are not refundable, including for partial billing periods.
8. Your content and business data
You own the records, photos, and other content you put into MaxIMS. You give us permission to host, store, copy, process, and display that content only as needed to provide, secure, and support MaxIMS for you.
You are responsible for your content and for having the right to use it. You can export reports to CSV in the app. To have your account and records deleted, email [email protected]; our Privacy Policy explains what happens to backups.
9. Acceptable use
Don’t use MaxIMS to:
- break the law, or store or share content you don’t have the right to use;
- access another person’s account or data without permission;
- probe, scan, or test the service’s security, or interfere with or overload it;
- copy, resell, or reverse engineer the service, except where the law allows; or
- collect data from the service with bots or scrapers.
10. Our software and feedback
MaxIMS, including its software, design, and content (other than your content), belongs to us or our licensors. These terms give you the right to use MaxIMS while your account is active; they don’t transfer ownership.
If you send us suggestions or feedback, we may use them without obligation to you.
11. Third-party services
MaxIMS relies on third-party services, including Auth0 for sign-in and Stripe for payments. Their own terms apply to your use of them, and we are not responsible for them.
12. Availability and changes to the service
We work to keep MaxIMS available but do not promise uninterrupted or error-free service. We may change, add, or remove features. If we discontinue MaxIMS entirely, we will give paying customers reasonable advance notice and time to export their reports.
13. Suspension and termination
You can stop using MaxIMS and cancel at any time.
We may suspend or close an account that seriously or repeatedly breaks these terms, fails to pay, or puts the service or other customers at risk, or where the law requires. Where practical, we will tell you first and give you a chance to fix the problem.
Sections that by their nature should survive termination (such as your content, disclaimers, limitation of liability, indemnity, and governing law) continue to apply.
14. Disclaimers
Apart from the commitments in these terms, MaxIMS is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that calculations will be free of errors caused by the records or fee rules you enter.
15. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from these terms or your use of MaxIMS.
To the extent the law allows, our total liability for any claim arising from these terms or MaxIMS is limited to the greater of the amount you paid us in the 12 months before the claim arose, or $100.
These limits do not apply where the law does not allow them.
16. Indemnity
If a third party brings a claim against us because of your content or your breach of these terms, you agree to cover our reasonable costs and losses from that claim, including reasonable attorneys’ fees.
17. Governing law and disputes
These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules.
Before filing a claim, please contact us at [email protected] so we can try to resolve it informally. Any dispute that can’t be resolved informally will be decided by the state or federal courts located in Shelby County, Tennessee, and you and we consent to their jurisdiction. Either of us may bring a qualifying claim in small-claims court.
18. Changes to these terms
If we change these terms, we will update the date at the top of this page. If a change is material, we will tell account holders by email or in the app before it takes effect. If you keep using MaxIMS after a change takes effect, the new terms apply; if you don’t agree, you can cancel.
19. General
These terms and our Privacy Policy are the whole agreement between you and us about MaxIMS. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a reorganization, merger, or sale of our business.
